Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and NGO As A Service (“we,” “us,” or “our”) governing your access to and use of the NGO As A Serviceplatform, including all features, services, and content (“Platform”).
By registering an account, accessing, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree, you must not use the Platform.
If you are accessing the Platform on behalf of an organisation — whether an NGO, foundation, company, or any other entity — you represent that you have authority to bind that organisation to these Terms.
Description of Services
NGO As A Service is a trust infrastructure platform designed to facilitate transparency, accountability, and due diligence in the Nigerian NGO sector. The Platform provides the following core services:
NGO Verification: A structured process through which NGOs submit legal, financial, impact, and digital documentation for review and verification by the NGO As A Service team.
Readiness Scoring: A weighted scoring system that calculates a publicly visible Readiness Score based on verified documentation and recent outreach activity.
Public Profiles: A publicly accessible directory of registered NGOs with summary information and Readiness Scores.
Report Access Requests: A mechanism for registered companies to formally request access to full NGO documentation and reports, subject to NGO consent.
CSR Activity Tracking: Tools for registered companies to create, manage, and track corporate social responsibility activities linked to partner NGOs.
Outreach Reporting: Tools for NGOs to document, submit, and publish outreach reports including beneficiary data, photos, videos, and financial summaries.
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice where practicable.
User Accounts & Registration
To access most features of the Platform, you must create an account. You agree to:
Provide accurate, complete, and current information during registration and maintain its accuracy at all times.
Keep your login credentials confidential and not share your account with any third party.
Notify us immediately at legal@ngoasaservice.com if you suspect any unauthorised access to or use of your account.
Accept full responsibility for all activity that occurs under your account.
You must be at least 18 years of age to register. By registering, you confirm that you meet this requirement. We may verify your identity or your organisation's details at any time.
Accounts are registered as either “NGO / Foundation” or “Company / Partner.” You must select the account type that accurately represents your organisation. Misrepresenting your account type is a material breach of these Terms.
NGO Verification Process
NGOs may submit documentation across four verification sections: Legal, Financial, Impact, and Digital. By submitting documents for verification, you agree that:
All submitted documents are authentic, accurate, and current. Submitting forged, altered, or misleading documents is a serious violation that may result in immediate account termination and may be referred to relevant regulatory authorities.
You have the legal right to share the submitted documents with us and to have them stored on the Platform.
Verification status (“complete,” “under review,” “rejected”) is assigned by NGO As A Service at our sole discretion following review of submitted materials. We do not guarantee a specific outcome or timeline.
A “verified” status reflects that submitted documents passed our review at the time of assessment. It is not a guarantee of an organisation's ongoing legal compliance, financial health, ethical conduct, or operational effectiveness.
You must notify us promptly if any previously verified information becomes inaccurate or outdated. We reserve the right to downgrade or revoke verification status at any time if we determine that information is no longer accurate.
Company & Sponsor Accounts
Companies and sponsors accessing the Platform to discover and evaluate NGOs agree to the following:
Information and reports accessed through the Platform — including following a granted report access request — may only be used for legitimate due diligence, CSR planning, grant evaluation, partnership assessment, or impact verification purposes as stated at the time of the access request.
You must not share, sell, publish, reproduce, or otherwise disclose confidential NGO data obtained through the Platform to any third party without the explicit written consent of the relevant NGO and NGO As A Service.
You acknowledge that the Platform facilitates discovery and due diligence but does not constitute an endorsement, recommendation, or guarantee of any NGO listed hereon. Final funding, partnership, or grant decisions remain entirely your responsibility.
You must not use company account access to conduct competitive intelligence, reverse-engineer the Platform, harvest data at scale, or for any purpose other than legitimate engagement with NGOs.
Acceptable Use
You agree that you will not use the Platform to:
Upload, transmit, or share content that is false, fraudulent, misleading, defamatory, obscene, or that infringes the intellectual property or privacy rights of any person.
Impersonate any person, organisation, or entity, or misrepresent your affiliation with any person or entity.
Engage in any activity that could damage, disable, overburden, or impair the Platform or interfere with other users' use of the Platform.
Attempt to gain unauthorised access to any portion of the Platform, any other account, or any systems connected to the Platform through hacking, password mining, or any other means.
Harvest or collect user data or personal information by any automated means or for any unlawful purpose.
Use the Platform for any unlawful purpose or in violation of any applicable Nigerian law or regulation, including but not limited to the Nigerian Data Protection Act 2023, the Companies and Allied Matters Act (CAMA), and all applicable anti-money-laundering regulations including SCUML requirements.
Circumvent, disable, or interfere with any security-related features of the Platform.
Content, Data & Intellectual Property
Your Content. You retain ownership of all documents, data, reports, photos, videos, and other content you submit to the Platform (“User Content”). By submitting User Content, you grant NGO As A Service a non-exclusive, worldwide, royalty-free licence to host, store, process, display, and transmit your User Content solely as necessary to operate the Platform and deliver the Services to you and other users you have authorised to access it.
Our Content. All software, design, code, scoring algorithms, text, graphics, logos, trademarks, and other content created or owned by NGO As A Service are our exclusive property and are protected by applicable intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from our content without prior written permission.
Feedback. Any feedback, suggestions, or ideas you submit regarding the Platform may be used by us freely and without obligation or compensation to you.
Data accuracy. You are solely responsible for the accuracy, legality, and completeness of all User Content you submit. We are not liable for any errors, omissions, or inaccuracies in User Content.
Report Access Requests
The Platform includes a formal mechanism allowing registered companies to request full access to an NGO's detailed documentation and outreach reports.
NGO consent is required. No company gains access to full NGO data without the NGO explicitly granting the request. NGOs may decline any request without providing a reason and without consequence.
When a company submits an access request, the NGO will see the company's full profile, including company name, industry, contact person, and the stated purpose of the request.
Companies must accurately state the purpose of their access request. Misrepresenting the purpose is a breach of these Terms and may result in account suspension.
NGO As A Service is not a party to, and accepts no liability in connection with, any funding, grant, partnership, or commercial arrangement that may arise from or be facilitated by an approved access request.
CSR Activity Tracking
Registered companies may create and manage CSR activities linked to partner NGOs using the Platform. By using this feature, you agree that:
All disbursement records, amounts, dates, and descriptions you enter must be accurate and reflect actual transactions. The Platform is not a payment processor — disbursements are recorded for tracking and reporting purposes only.
NGO As A Service does not hold, transfer, or manage any funds. All financial transactions occur directly between you and the NGO outside of the Platform.
We are not liable for any disputes arising between a company and an NGO in connection with a CSR activity, including but not limited to disputes over fund disbursement, impact delivery, or project completion.
Fees & Payments
Basic access to the Platform, including NGO registration, verification submission, and public profile creation, is currently provided free of charge.
We reserve the right to introduce fees for certain features or account tiers in the future. Where fees are introduced, we will provide at least 30 days' advance notice to affected users via email. Continued use of paid features after the notice period constitutes acceptance of the applicable fees.
Where any fee is charged, all prices will be quoted in Nigerian Naira (₦) unless otherwise stated. All fees are exclusive of applicable taxes, which shall be the responsibility of the paying party.
Disclaimers & Limitation of Liability
Platform provided “as is.” The Platform and all Services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, or non-infringement.
No endorsement. The presence of an NGO on the Platform, or its verification status or Readiness Score, does not constitute an endorsement, recommendation, or guarantee by NGO As A Service of that NGO's suitability for funding, partnership, or any other purpose. Users are solely responsible for their own due diligence decisions.
Verification limitations. Our verification process reviews submitted documents at a point in time. We cannot guarantee that verified information remains current, that documents are not forged, or that a verified NGO is legally compliant, financially solvent, or operationally effective.
Limitation of liability. To the maximum extent permitted by applicable law,NGO As A Service, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from or in connection with your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising under these Terms shall not exceed the greater of (i) the amount you paid to us in the 12 months preceding the claim, or (ii) ₦50,000.
Indemnification
You agree to indemnify, defend, and hold harmless NGO As A Service and its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:
Your use of or access to the Platform;
Your violation of these Terms;
Any User Content you submit, including any claim that your User Content infringes or misappropriates the intellectual property or other rights of any third party;
Any funding decision, partnership arrangement, or financial transaction you enter into as a result of using the Platform.
Third-Party Services
The Platform uses third-party services to operate, including but not limited to:
Firebase (Google LLC) — authentication, database, and infrastructure services.
Cloudflare — file storage (R2) and video streaming (Cloudflare Stream).
Your use of these services through the Platform is also subject to the applicable terms and privacy policies of those third parties. We are not responsible for the practices or content of any third-party service. Links to third-party websites or services do not imply endorsement.
Termination & Suspension
We may suspend or terminate your account and access to the Platform at any time, with or without notice, for any of the following reasons:
Material or repeated breach of these Terms;
Submission of fraudulent, forged, or materially misleading documents;
Conduct that we reasonably believe exposes NGO As A Service or other users to legal, financial, or reputational harm;
Any activity that we determine, in our sole discretion, violates the spirit or purpose of the Platform.
You may terminate your account at any time by contacting us at legal@ngoasaservice.com. Upon termination, your right to use the Platform ceases immediately. We may retain your data as required by applicable law or for legitimate business purposes as described in our Privacy Policy.
Clauses 7, 11, 12, and 15 survive termination of these Terms.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
Negotiation first. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, both parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of at least 30 days before initiating any formal proceedings.
Arbitration. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap. A18, Laws of the Federation of Nigeria 2004), as amended. The language of arbitration shall be English. The arbitrator's decision shall be final and binding.
Nothing in this clause prevents either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction.
Changes to These Terms
We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email and by posting a notice on the Platform at least 14 days before the changes take effect. The updated Terms will be identified by a revised effective date at the top of this page.
Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Platform before the changes take effect.
